Jonathan F. Miller Named Chairman and CEO of America Online

NEW YORK-AOL Time Warner Inc. (NYSE: AOL) today announced that Jonathan F. Miller, formerly President and CEO of USA Interactive's USA Information and Services (USAIS), has been named Chairman and Chief Executive Officer of its America Online, Inc. division. AOL Time Warner CEO Richard Parsons said: "Jon Miller is absolutely the right person to lead America Online into its next stage of growth. Jon's success in building consumer-driven businesses online and offline has given him the right blend of expertise and experience to revitalize America Online. He is, moreover, a person of unquestioned integrity and character, and a great team player, to boot. I look forward to working closely with Jon and Don Logan to create new value at America Online for our shareholders, employees, partners and customers."

Mr. Miller, 45, will be responsible for all of America Online's businesses, including the flagship AOL service, and will report to Don Logan, Chairman of AOL Time Warner's Media & Communications Group. AOL Time Warner Chairman Steve Case said: "Jon's hiring represents an important step forward for America Online and the entire Company. The discussions I've had with Jon give me great confidence that he will put the focus squarely back on our members and ensure we strike the right balance between driving near-term growth and investing for the future. I look forward to working with Jon as he builds on AOL's strong position and takes AOL to new heights."

Mr. Logan said: "Jon's proven abilities to manage creative organizations and work effectively as part of a team help make him the best choice for this challenging job. I am confident that Jon will make America Online once again a powerful growth engine and an even more valuable partner both inside and outside the Company. I have assured Jon and America Online's people that they will have all of the resources and support necessary to succeed."

Mr. Miller brings extensive management experience in interactive services, media, entertainment and technology to his new position -- previously serving as President and CEO of USAIS, as well as USA Networks' USA Electronic Commerce/Services and USA Broadcasting divisions; Managing Director of Nickelodeon International; Vice President and Co-General Manager of NBA Entertainment; and Director, instructional programming, at Boston's WGBH-TV.

This year, Mr. Miller worked with General Catalyst Partners, a Boston-based private equity firm, on a new venture to create online transactional businesses. General Catalyst and America Online have had a longstanding association, and Mr. Miller said he would work to extend that relationship in his new role. Mr. Miller said: "What America Online and its people have built is truly extraordinary and unparalleled. This is a terrific opportunity to build on its industry leadership to better serve both members and partners. My focus will be on making the AOL service even more useful in the everyday lives of its members. Working with Steve, Dick and Don -- along with our colleagues throughout the Company, all of us at America Online will have a truly exciting and successful future."
